Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hephra website (hephra.com) and any services we offer, including joining our waitlist and placing a refundable deposit for a future Hephra product. By using the site, joining the waitlist, or placing a deposit, you agree to these Terms. If you don't agree, please don't use the site.

1. About Hephra

Hephra is a pre-launch hardware and software product in development. The site currently allows visitors to join a waitlist for product updates and optionally place a refundable deposit to reserve a spot in early customer cohorts. No Hephra product is currently available for purchase or shipment. Final product specifications, pricing, availability, and ship dates may change.

2. Eligibility

You must be at least 18 years old and a resident of the United States to use the site or place a deposit. By placing a deposit, you represent that you meet these requirements.

3. Waitlist

You may join our waitlist by submitting your email address. We will use this email to send you product updates, development progress, and ordering information when available. You can unsubscribe at any time via the link in any email.

4. Refundable Deposit

If you choose to place a refundable deposit of $25 to reserve a spot in our early customer cohort:

• The deposit reserves a position in line for an early Hephra unit. It is not a purchase or an order.

• The deposit is fully refundable at any time before product shipment. To request a refund, email james@hephratools.com with the email address you used at deposit. We will process refunds within 14 days.

• The deposit will be applied as a credit toward the price of your Hephra purchase when the product becomes available, if you choose to complete the order. Final product pricing will be communicated before any additional charge is made.

• If we cannot deliver the product within 24 months of your deposit, we will automatically refund your deposit and notify you.

• If we discontinue the product or wind down operations, we will automatically refund all outstanding deposits.

• Deposits are processed through Stripe. Hephra never sees or stores your full payment information.

• The deposit is held by Hephra (not in escrow) and may be used for working capital during product development. This is industry standard for hardware pre-orders.

5. Communications

By joining the waitlist or placing a deposit, you consent to receive transactional and marketing email from Hephra related to the product. You can opt out of marketing email at any time. Transactional email related to your deposit (confirmations, refund processing, shipping updates) will continue regardless of marketing preferences.

6. Intellectual Property

All content on the Hephra site — including text, graphics, logos, images, video, software, and the Hephra name — is owned by Hephra or its licensors and is protected by US and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any of this content without our written permission.

7. User Conduct

When using the site, you agree not to:

• Submit false, misleading, or fraudulent information.

• Attempt to access, scrape, or interfere with the site's systems or other users' data.

• Use the site in violation of any applicable law.

• Resell, transfer, or assign your waitlist position or deposit without our written consent.

8. Disclaimer of Warranties

The site and waitlist are provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the site will be uninterrupted, error-free, or secure, or that any specific product will be released, available, or perform as described in marketing materials.

Any product specifications, features, performance claims, or images shown on the site are conceptual and subject to change. We make no warranty that the final product will match any specific representation on the site.

9. Limitation of Liability

To the maximum extent permitted by law, Hephra and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the site, waitlist, or deposit program. Our total liability for any claim arising from your use of the site is limited to the amount you have paid us (i.e., your deposit, if any).

Some states do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In those states, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Hephra, its officers, employees, and affiliates from any claim or demand arising from your violation of these Terms, your misuse of the site, or your violation of any law or third-party right.

11. Termination

We may suspend or terminate your access to the site or waitlist at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Outstanding deposits will be refunded according to Section 4.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify waitlist subscribers by email and update the "Last updated" date above. Continued use of the site after changes constitutes acceptance of the updated Terms.
